References to a "person" include individuals, companies, partnerships, and other legal entities. The singular includes the plural and vice versa. Headings are for convenience only and do not affect interpretation.
Flowdex FZE LLC is a limited liability company incorporated in the Ajman NuVentures Centre Free Zone, Emirate of Ajman, United Arab Emirates, under Amiri Decree No. 15 of 2023.
Flowdex provides professional project management services including, but not limited to: PMO setup and management, agile and Scrum delivery, digital transformation program management, vendor and contract management, risk and quality management, and stakeholder and change management. The specific scope of services for each engagement will be defined in a mutually agreed Statement of Work or service agreement.
Our Services constitute professional advisory and management services. While we apply recognized industry frameworks and best practices, the outcomes of any project are subject to numerous factors outside our control, including but not limited to client resources, third-party performance, technology constraints, and organizational dynamics. Flowdex does not guarantee specific project outcomes.
In accordance with our business license requirements, relevant authority approval must be obtained prior to conducting applicable business activities. Clients are responsible for ensuring that any project we manage on their behalf has received all necessary regulatory, legal, and internal approvals before commencement.
Flowdex reserves the right to subcontract elements of the Services to qualified third parties. We remain responsible for the quality of all deliverables regardless of who performs the underlying work. We will not subcontract work involving access to Client confidential information without prior written consent.
A binding agreement is formed when both parties have signed a Statement of Work, engagement letter, or formal service contract. Enquiries submitted through this website, email exchanges, or verbal discussions do not constitute a binding agreement unless confirmed in writing.
Each engagement will be governed by a Statement of Work (SOW) which will specify: the scope of services, project timeline and milestones, deliverables and acceptance criteria, fees and payment schedule, escalation procedures, and any specific terms applicable to that engagement.
Any changes to the agreed scope of work must be documented through a formal Change Request process. Flowdex will provide a written Change Request document describing the scope change, impact on timeline, and any additional fees. Changes become effective only when signed by both parties. Verbal agreements to scope changes are not binding.
The Client agrees to: provide timely access to relevant systems, data, and personnel; designate a qualified project sponsor and point of contact; attend scheduled meetings and respond to queries within agreed timeframes; and make decisions within their authority promptly to avoid project delays. Project delays caused by Client non-performance are not the responsibility of Flowdex and may result in timeline and cost adjustments.
Service fees will be as agreed in the applicable Statement of Work. Fees may be structured as fixed-price, time-and-materials, retainer, or milestone-based, as appropriate for the engagement. All fees are quoted in UAE Dirhams (AED) unless otherwise agreed in writing.
Invoices will be issued in accordance with the payment schedule in the SOW, or monthly in arrears where no specific schedule is agreed. Invoices will be sent electronically to the billing contact designated by the Client.
Payment is due within thirty (30) days of the invoice date unless a different payment term is specified in the SOW. Flowdex reserves the right to charge interest on overdue amounts at a rate of 1.5% per month, compounded monthly, from the due date until payment is received.
All fees are exclusive of Value Added Tax (VAT) or any other applicable taxes. Where VAT or other taxes apply, they will be added to invoices at the applicable rate. The Client is responsible for any withholding taxes required under their local jurisdiction.
Pre-approved out-of-pocket expenses (travel, accommodation, printing, etc.) incurred by Flowdex in performing the Services will be invoiced at cost with supporting receipts. Expenses exceeding AED 1,000 require prior written approval from the Client.
If the Client disputes any invoice, they must notify Flowdex in writing within seven (7) days of receipt, specifying the grounds for dispute. Undisputed portions of an invoice must be paid by the due date. Both parties will endeavour to resolve disputes within fourteen (14) days of notification.
All methodologies, frameworks, templates, tools, and know-how developed by Flowdex prior to or independently of any engagement ("Pre-Existing Materials") remain the exclusive intellectual property of Flowdex. We grant the Client a non-exclusive, non-transferable licence to use Pre-Existing Materials solely for the purposes of the project during the term of the engagement.
Upon full payment of all amounts due under an engagement, Flowdex assigns to the Client all intellectual property rights in the bespoke project-specific deliverables created exclusively for that engagement. This assignment does not include Pre-Existing Materials, which are licensed as described above.
The Client retains all ownership of their data, documentation, systems, and other materials provided to Flowdex. Flowdex is granted a limited licence to use these materials solely for performing the Services.
Flowdex may reference the Client's name, industry, and general nature of the engagement (without disclosing confidential details) in our portfolio, marketing materials, and case studies, unless the Client requests otherwise in writing.
Both parties agree to keep confidential any information designated as confidential or which by its nature is clearly confidential ("Confidential Information"). Each party agrees to: use Confidential Information only for the purposes of the engagement; not disclose Confidential Information to third parties without prior written consent; and protect Confidential Information with at least the same degree of care used to protect their own confidential information, and no less than reasonable care.
These obligations do not apply to information that: is or becomes publicly available other than through a breach of this clause; was already known to the receiving party at the time of disclosure; is independently developed without use of the Confidential Information; or is required to be disclosed by law or regulatory authority, provided that prompt notice is given to the disclosing party where lawful to do so.
Confidentiality obligations survive termination of any agreement for a period of five (5) years.
Flowdex warrants that: the Services will be performed with reasonable skill and care by suitably qualified personnel; Flowdex has the right to enter into and perform any engagement agreement; and the Services will not knowingly infringe any third-party intellectual property rights.
The Client warrants that: it has the authority to enter into any engagement agreement; all information provided to Flowdex is accurate and complete to the best of their knowledge; and the use of Flowdex's Services and deliverables does not violate any applicable law or third-party rights.
Except as expressly stated above, all warranties, conditions, and representations — whether express, implied, statutory, or otherwise — are excluded to the fullest extent permitted by applicable law. Flowdex does not warrant that project management services will achieve any specific business outcome, and does not guarantee that any technology project will be delivered on a particular date or within a particular budget, as these outcomes depend substantially on factors within the Client's control.
To the fullest extent permitted by applicable law:
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by applicable law.
The Client agrees to indemnify, defend, and hold harmless Flowdex, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: the Client's breach of these Terms or any engagement agreement; the Client's negligence or wilful misconduct; any claim that Client-provided materials or instructions infringe a third party's intellectual property or other rights; or the Client's failure to obtain required regulatory approvals for the project.
Either party may terminate an engagement by providing thirty (30) days written notice. Upon termination for convenience, the Client shall pay all fees for Services performed up to the termination date, plus any non-cancellable costs committed by Flowdex in connection with the engagement.
Either party may terminate an engagement immediately by written notice if the other party: commits a material breach that is not remedied within fourteen (14) days of written notice specifying the breach; becomes insolvent, is placed in administration or receivership, or enters into a voluntary arrangement with creditors; or engages in fraudulent, illegal, or grossly negligent conduct in connection with the engagement.
On termination: all outstanding fees become immediately payable; each party shall return or destroy Confidential Information of the other party; and provisions which by their nature survive termination (including confidentiality, IP, limitation of liability, and governing law) shall continue in full force.

If the dispute cannot be resolved by negotiation, it shall be referred to the courts of the Emirate of Ajman, which shall have exclusive jurisdiction. This is consistent with the jurisdiction provisions of our Memorandum of Incorporation as registered with the Ajman NuVentures Centre Free Zone.
Flowdex reserves the right to update these Terms at any time. Updated Terms will be posted on this website with a revised "Last updated" date. For ongoing engagements, material changes to Terms affecting existing agreements will be communicated in writing with at least thirty (30) days notice. Your continued use of our website or Services after changes are posted constitutes acceptance of the updated Terms.
